This Instructor Agreement ("Agreement") is entered into by and between you ("Instructor") and Built Environment Institute FZE, a company established and operating under the laws of Sharjah, United Arab Emirates, and the owner and operator of this online education platform ("Platform"). This Agreement outlines the terms and conditions governing your participation as a content creator and course instructor on the Platform. By accepting this Agreement, you acknowledge that you have read, understood, and agreed to be legally bound by its terms.
The Platform engages the Instructor to create, develop, and deliver educational content for distribution via the Platform’s online learning environment in accordance with the terms of this Agreement. The Instructor agrees to create, record, and deliver educational course content for the Platform. These courses may include pre-existing content or newly created material. All content must meet the Platform’s standards for academic integrity, instructional design, production quality, and user engagement. The Instructor also agrees to provide additional services such as live sessions, learner support, and promotional collaboration, as may be required from time to time.
- Deliver high-quality, original content including videos, readings, assessments, and supporting materials. All content must reflect current academic, scientific, or industry knowledge and must not infringe on any third-party intellectual property rights.
- Solely responsible for filming, editing, and finalizing all course content using their own equipment unless otherwise agreed. Costs related to materials or demonstrations are also the instructor’s responsibility, unless otherwise agreed.
- Respond to student questions and messages through the Platform’s communication tools daily and promptly.
- Host weekly, bi-weekly, or monthly live sessions with enrolled students for interaction and feedback as needed.
- Implement content revisions requested by the Platform when technically feasible and educationally relevant. If changes exceed 30% of course material, a new agreement may be considered.
- Not disclose or share any recorded content except through the Platform or authorized parties.
- Assign full ownership of all produced content — including videos, slides, music, written materials, and associated intellectual property — to the Platform.
- Record promotional and marketing content as requested by the Platform to support course visibility.

The Platform agrees to provide the necessary support and infrastructure to enable the Instructor to create, manage, and deliver their course effectively. Specifically, the Platform shall:
Provide access to a secure and reliable learning management system (LMS) through which the Instructor can upload, manage, and monitor their course content and learner engagement.
Offer onboarding assistance, including platform orientation, instructional guidelines, and content creation best practices, to ensure a smooth and professional course development process.
The Platform will provide slide templates and comprehensive design guidelines that align with its visual identity, including fonts, color schemes, logo usage, and layout standards. These resources are intended to help the Instructor maintain a consistent and high-quality presentation style throughout the course. All submitted slides will be reviewed and, where necessary, redesigned by the Platform’s team to ensure brand compliance and visual coherence. The Instructor agrees to use the provided templates for any new slides created and must submit all new or modified slides for final formatting and approval before recording.
Review submitted course content in a timely manner and provide constructive feedback for improvement and compliance with quality standards.
Develop and execute marketing campaigns—including SEO optimization, social media advertising, email outreach, and Google Ads, to promote the course upon launch.
Handle all student registrations, payment processing, refunds, technical support, and customer inquiries to ensure a seamless learning experience for enrolled students.
Maintain clear and timely financial reporting regarding course earnings and ensure accurate and punctual payments to the Instructor, subject to the agreed revenue share model.
While course content will be owned by the Platform as per this Agreement, the Instructor will be credited as the course creator wherever reasonably appropriate, unless otherwise agreed.
Where necessary and approved, assist with arrangements for recording equipment or professional studio services to facilitate high-quality production, at the Platform’s discretion.
Maintain open communication with the Instructor and treat all collaborations with respect, fairness, and professionalism.
- 80% of Net Revenue from students who enroll using the Instructor’s referral
link or promotional code.
- 30% of Net Revenue from students acquired directly by the Platform.

Net Revenue Definition
“Net
Revenue” refers to the total amount received by the Platform from course sales,
after deductions for refunds, chargebacks, taxes, and third-party transaction
fees.
3.3
Payment Schedule
Payments
to the Instructor will be calculated monthly and transferred to the
Instructor’s designated bank account within 45 days of the close of each
calendar month.
“Net
Revenue” refers to the total amount received by the Platform from course sales,
after deductions for refunds, chargebacks, taxes, and third-party transaction
fees.

If
a student receives a refund or initiates a chargeback within the Platform’s
30-day refund policy window, the Instructor will not be entitled to revenue
from that transaction. If a refund occurs after the Instructor has already
received payment, the refunded amount may be deducted from the Instructor’s
next payment cycle. The Platform reserves the right to withhold or adjust
Instructor earnings in the event of a high refund rate, complaints regarding
course quality, or suspicion of fraud.
The Instructor is solely responsible for the reporting, collection, and payment of any applicable taxes. The Platform may provide a yearly earnings statement but is not a tax agent on behalf of the Instructor.
All intellectual property rights to the course materials — including videos, images, audio, illustrations, scripts, slides, quizzes, and supporting content — are irrevocably assigned to the Platform. The Platform has a worldwide, royalty-free, perpetual license to use the Instructor’s name, image, and voice for marketing and distribution. The Instructor waives the right to approve promotional content in which their image or voice appears.
This Agreement remains in effect until terminated by either party. Either party may terminate the Agreement with 30 days’ written notice. In the event of mutual agreement to terminate, the course will be converted to private access, available only to students who enrolled prior to the termination date. No further enrollments will be permitted, and all new revenue generation from the course will be discontinued.
The Platform reserves the right to terminate the Agreement immediately in cases of material breach, misconduct, or failure to meet the Platform’s quality or professional standards.
If the Instructor ceases activity or communication for more than 30 consecutive calendar days without valid justification, the Platform reserves the right to assume full ownership of the course development and delivery, and to retain all revenue associated with the course.
The
Instructor must not disclose any confidential information obtained through
their relationship with the Platform, except as needed to fulfill their duties
under this Agreement.
The Instructor agrees not to
offer, license, sell, distribute, or otherwise make available the same course,
or any substantially similar course content—including but not limited to
videos, slides, scripts, quizzes, or other educational materials—to any
competing online education platform, academic institution, or training provider
during the term of this Agreement.
This restriction applies
specifically to:
Courses with identical or repurposed
titles, content, or instructional materials;
Courses that cover the same subject
matter, follow a similar structure, or aim to achieve the same learning
outcomes;
Any materials developed for the Platform
that have been branded, customized, edited, or marketed by the Platform or
its affiliates.
The Instructor may, however,
create and deliver new, original educational content on different
subject areas or topics for other entities, provided such content does not
reuse, reference, or closely mirror any course or material created under this
Agreement.
Any exception to this clause must
be expressly authorized in writing by the Platform prior to
dissemination or use elsewhere.
The
Instructor agrees to indemnify and hold harmless the Platform from any claims
arising from a breach of this Agreement, including intellectual property
violations or legal issues with course content.
This
Agreement is governed by the laws of the United Arab Emirates. Any legal
disputes shall be resolved in the competent courts of the UAE.
The Built Environment Institute (BEI) reserves the right to amend the terms and conditions of this Agreement, including but not limited to revenue share arrangements, when deemed appropriate to reflect organizational, market, or operational needs. Any such amendments will be added to the original agreement published on the platform or in writing to the Instructor in emails or Text messages. BEI affirms that any adjustments will be made in good faith, with due consideration to protecting the Instructor’s rights, and without materially diminishing the Instructor’s fair share or previously agreed entitlements under this Agreement.
This Agreement constitutes the full agreement between the parties and overrides any prior discussions or understandings. Amendments must be in writing and signed by both parties.
